Orice societate comerciala are dreptul sa treca in obiectul de activitate toate activitatile prevazute in CAEN Rev.2, cu exceptia acelor activitati care constituie „monopol” de stat sau au un regim aparte de desfasurare. La inmatricularea unei societati, Registrul Comertului nu percepe taxe suplimentare in functie de numarul obiectelor de activitate trecute in Actul Constitutiv. Spre deosebire de alte birouri de consultanta comerciala, nici Reinvent Consulting nu percepe astfel de tarife suplimentare.

O societate comerciala trebuie insa sa faca distictie intre ce are dreptul sa desfasoare, ce este autorizata sa desfasoare si ce este avizata sa desfasoare.

In primul rand dreptul sa desfasori o activitate este dat de catre Registrul Comertului (prin Ministerul Justitiei), odata cu inscrierea Actului Constitutiv si publicarea Hotararii Judecatoresti de Infiintare in Monitorul Oficial. Acest lucru nu echivaleaza in mod automat si cu autorizatia pentru a desfasura orice activitate inscrisa in Actul Constitutiv, indiferent daca societatea are un singur obiect de activitate sau intregul CAEN. Nu poti sa pretinzi ca odata ce  ti-au iesit actele societatii, de a doua zi incepi sa fabrici avioane sau sa fabrici covrigi si paine.

Pentru a desfasura oricare dintre activitatile inscrise in obiect, orice societate are nevoie de autorizatii. Acestea sunt eliberate tot de catre Registrul Comertului, sub forma unui Certificat Constatator emis in baza unei Declaratii pe propria raspundere, care va ajunge la autoritatile competente din cadrul: Ministerului Sanatatii Publice (Directia de Sanatate Publica), Ministetului Agriculturii si Dezvoltarii Rurale (Directia de Sanatate Veterinara), Ministerului Muncii, Familiei si Egalitatii de Sanse (Inspectorarul Teritorial de Munca – Protectia Muncii) si Ministerul Mediului si Dezvoltarii Durabile (Agentia pentru Protectia Mediului). Pana nu de mult era inclus si Ministerul Internelor si Reformei Administrative (pentru PSI). Autoritatile respective sunt obligate sa constate daca activitatea pentru care se solicita autorizatia se afla sau nu in sfera de competenta a acesteia. In situatia unui raspuns afirmativ, se poate lua masura unui control in locatia in care se desfasoara activitatea, control ce se poate finaliza cu un proces verbal ce atesta ca sunt indeplinite conditiile de functionare, cu recomandari pentru remedierea conditiilor de functionare sau cu interzicerea desfasurarii activitatii pentru motive bine intemeiate (in general ce tin de sanatate publica, de protectia mediului si de protectia muncii).

In situatia in care se solicita, de catre autoritati, remedierea problemelor constatate, acestea au obligatia de a acorda un termen pentru rezolvarea deficientelor, termen ce poate fi prelungit la cerere pentru maxim aceeasi perioada. Daca nici dupa prelungirea termenului societatea comerciala nu indeplineste conditiile de functionare, autoritatile au dreptul sa suspende total activitatea pentru care s-a solicitat autorizatie.

Totusi, nici dupa ce ati obtinut autorizatia, procedura pentru desfasurarea unei activitati nu este legal indeplinita. Majoritatea activitatilor sunt supuse si avizarii. Institutia care emite cele mai multe avize este primaria pe raza careia se desfasoara o activitate comerciala. Termenul legal pentru emiterea unui astfel de aviz este de 30 de zile, insa nerespectarea acestui termen constituie o normalitate pentru aceste institutii. Alte autoritati care emit avize, licente si brevete sunt: Registrul Auto Roman, Autoritatea Rutiera Romana, Ministerul pentru IMM, Comert, Turism si Profesii Liberale.
