Creation of Associations and Foundations

In keeping with the Ordinance no. 26 of 2000, the natural and/or legal persons who wish to carry out activities in the pursuit of general, community or, as the case may be, non-lucrative personal interests may establish Associations or Foundations.

An Association is created by three or more natural and/or legal persons and it acquires its legal personality upon registration with the Registry of Associations and Foundations attached to the Court of Law that has jurisdiction over the relevant territory.

The initial assets of the association or foundation

The initial assets of the association must amount to at least one national raw minimum wage and it shall be constituted by the contributions made in cash and/or in kind by the associates. After the acquisition of the legal personality, the initial assets of the association may be used.

In keeping with the aforementioned Ordinance, foundations may be created by one or more persons who wish to establish a fund, on the basis of an inter vivos or a testamentary trust; said fund is to be dedicated permanently and irrevocably to the pursuit of a general or community interest, as the case may be.

The initial assets of a foundation must amount to at least 100 times the national raw minimum wage, in force at the date of the foundation’s creation. Said assets may consist of goods (“in kind”) or cash.

The documents needed for the creation of an association or a foundation

  • Identity cards of the founding members of the association/foundation;
  • Deed regarding the registered office of the association/foundation;
  • Approval from the condominium owners’ association or the neighbours – if applicable;
  • Proof of establishment of the initial assets of the association/foundation;
  • The tax offence records of the founding members.

Other documents may be required on a case-by-case basis.

Special mention must be made of the fact that there are two separate phases to the creation of an NGO:  one takes place before the competent Court of Law and it regards the acquisition of the legal personality and the obtainment of a certificate of registration with the Registry of Associations and Foundations, while the second phase regards the obtainment of the fiscal registration certificate. This is to say that, for the second phase, a different file must be put together and submitted to the Financial Administration Agency that has jurisdiction in the territory where the registered office of the association/foundation is located.   • 1.200 RON in Bucharest and Ilfov (All taxes included);
